Annenberg Center for Health Sciences at Eisenhower (“ACHS”) may revise and update these Terms and Conditions at any time. Your continued usage of this website will mean that you accept these changes. 7.    Indemnification. To the fullest extent permitted by law, you shall defend, indemnify, and hold harmless the ACHS Parties from and against all claims arising from or in any way related to your use of this website and/or ACHS Content, a violation by you of these Terms and Conditions, or any other actions connected with your use of this website and/or ACHS Content, including any liability or expense, losses, damages (actual or consequential), suits, judgments, litigation costs and attorneys’ fees. ACHS will provide prompt written notice of any such claims, but failure to provide such notice will not release you from any of your obligations pursuant to this Section 7 except to the extent that you are actually prejudiced by such failure, and will not relieve you from any other liability that you may have to the ACHS Parties under this Section 7.

8.    Arbitration. Any dispute or controversy arising under, out of or in connection with, or in relation to these Terms and Conditions or the breach hereof shall be determined and settled by arbitration in Riverside County, California, in accordance with the rules of commercial arbitration of the Judicial Arbitration and Mediation Service and applying the laws of the State of California.  Any award rendered by the arbitrator shall be final and binding upon each of the parties, and judgment thereon may be entered in any court having jurisdiction thereof.  The costs shall be borne equally by both parties.  During the pendency of any such arbitration and until final judgment thereon has been entered, this Agreement shall remain in full force and effect unless otherwise terminated as provided hereunder.  In the event any attorney is engaged by either party with regard to any legal action, arbitration or other proceeding brought by either party for the enforcement of these Terms and Conditions, or because of an alleged dispute, breach, default or misrepresentation in connection with any of the provisions of these Terms and Conditions, the prevailing party, whether at trial or upon appeal, will be entitled to recover reasonable attorneys’ fees and other costs and expenses incurred, in addition to any other relief to which it may be entitled.

9.    Governing Law. These Terms and Conditions shall be construed in accordance with the laws of the State of California.

10.    Waiver. A waiver by either party of a breach or failure to perform hereunder shall not constitute a waiver of any subsequent breach or failure.

11.    Severability. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be enforced to the fullest extent of the law, and all other provisions shall remain in full force and effect.

12.    Entire Agreement. These Terms and Conditions contain the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements, oral or written, and all other communications between the parties relating to such subject matter.
